AAR to take 65% of MRO Holdings at $4B enterprise value

AAR CORP. agreed to acquire a 65% controlling interest in MRO Holdings at an implied enterprise value of $4.0 billion, or 10.7x forecast 2026 adjusted EBITDA including $75 million of expected run-rate cost synergies. MRO Holdings employs roughly 10,000 people across 115 lines of airframe maintenance capacity in El Salvador, Mexico, Colombia and the US, with about 90% of revenue from US customers.

Why it matters: The combination would create the world's largest heavy maintenance MRO and anchor AAR's parts, repair and software aftermarket platform.
