Peoples Bancorp to buy Capital Bancorp for $728M in all-stock deal

Marietta, Ohio-based Peoples Bancorp agreed to acquire Rockville, Maryland's Capital Bancorp in an all-stock deal valued at $728.1 million, or $43.75 per share, with Capital holders receiving 1.11 Peoples shares each. The combination, Peoples' second deal of 2026, creates a roughly $14 billion-asset bank with $11 billion in deposits and more than 150 locations across eight states and Washington, D.C.

Why it matters: Peoples is deliberately crossing the $10 billion-asset regulatory threshold it once avoided, a sign regional banks see scale as worth the compliance cost.
