onsemi and Synaptics amended their June merger agreement, with onsemi now paying $123 per share in cash for roughly $5.7 billion, down from about $7 billion under the original deal. The revision followed an unsolicited competing proposal from a third party. onsemi says the transaction will now be immediately accretive to non-GAAP EPS and sees upside beyond $200 million of annual run-rate synergies.

Why it matters: A competing bidder usually pushes prices up; here it gave onsemi room to restructure terms downward while keeping the asset.

Authentic Brands eyes Mattel in talks valuing toymaker near $6B

Authentic Brands Group has privately discussed an offer that could value Mattel at more than $20 per share, or about $6 billion, according to a Wall Street Journal report. Mattel shares jumped nearly 20% on Thursday from just above $15. A person familiar confirmed talks exist but called them very preliminary; Mattel declined to comment on speculation.

Rogers takes full ownership of MLSE in C$4.35B buyout

Rogers Communications completed its acquisition of the remaining 25% stake in Maple Leaf Sports & Entertainment from Kilmer Sports for C$4.35 billion, bringing its ownership to 100%. MLSE's portfolio includes the Toronto Maple Leafs, Raptors, Toronto FC, Argonauts, Scotiabank Arena and a Live Nation partnership, joining Rogers' Blue Jays, Rogers Centre and Sportsnet assets.

Wendel closes €2.1B sale of Stahl to Henkel

Wendel finalized the sale of its stake in Stahl (excluding Muno) to Henkel at an enterprise value of €2.1 billion, after clearing all regulatory approvals. Net proceeds come to roughly €1.14 billion, a 6.3x multiple on Wendel's total investment since 2006 and an annualized IRR above 15% over 20 years — about a 20% premium to Stahl's last carrying value in Wendel's NAV.

Salesforce signs deal for AI research startup Listen Labs, reported at $2B

Salesforce has signed a definitive agreement to acquire Listen Labs, which builds AI agents that recruit, interview and simulate customers using digital twins. Neither side disclosed terms, though Business Insider reported a price around $2 billion. Closing is expected in Salesforce's fiscal Q4 2027 pending regulatory clearance, and the founders will join Salesforce AI Labs.

Gentherm completes Reverse Morris Trust combination with Modine's Performance Technologies

Gentherm closed its combination with Modine's Performance Technologies business, spun off via Platinum SpinCo in a Reverse Morris Trust structure first announced in January. Stripe buys embedded lender Parafin in second deal in two months

Stripe agreed to acquire Parafin, a San Francisco embedded financing company serving small businesses, marking its second acquisition in as many months. Founded in 2020, Parafin has extended $3 billion in credit to roughly 60,000 businesses in the U.S. and Canada since 2021. Stripe says SMB capital demand across its 18,000 platform partners is a revenue opportunity.

Nayax closes $350M all-cash purchase of smart parking firm IPS Group

Nayax completed its acquisition of IPS Group from Windjammer Capital Investors for $350 million in cash. IPS brings payment-enabled smart parking technology installed across more than 250,000 parking spaces in the U.S., Canada, the U.K. and Ireland. Nayax says the deal expands its addressable cashless opportunity by about $85 billion, to roughly $342 billion by 2029.

Supabase acquires Turso as it banks $150M more for agent databases

Supabase, the open-source Postgres development platform, is acquiring Turso, a platform that lets developers access higher volumes of databases for agentic workloads. The deal lands alongside $150 million in new funding led by GIC, with Alphabet's CapitalG, IronArc and SquarePeg participating — just four months after a $500 million Series F. Supabase says it now adds over 1M users and 4M databases monthly, with 70% of new databases created by agents or AI tools.

Aura Minerals pays $118M to insource mining fleets at three Brazil gold mines

Aura Minerals signed a definitive agreement to acquire a newly formed company holding the mining fleet, equipment leases and dedicated workforce currently run by a third-party contractor at its Apoena, Almas and Borborema gold operations in Brazil. Enterprise value is R$612 million (about US$118 million), with up to R$250 million in cash and the rest in assumed equipment lease financing and contingent payments. Transition is targeted for January 2027.

Dresser Utility Solutions to acquire Germany's RMG Messtechnik

Houston-based Dresser Utility Solutions has signed an agreement to acquire RMG Messtechnik GmbH, a global supplier of ultrasonic gas measurement technology. RMG makes high-pressure ultrasonic gas meters, turbine meters, gas chromatographs, flow computers and data loggers, and employs roughly 230 people worldwide with a strong European footprint. Terms were not disclosed. CEO David Evans said the combination broadens Dresser's gas metering portfolio and opens new growth opportunities.

SGS takes majority stake in US cybersecurity compliance firm Prescient Security

SGS, the world's largest testing, inspection and certification group, has completed the acquisition of a majority stake in Prescient Security, a US provider of information compliance and cybersecurity certification. Prescient has over 350 employees and 5,000 customers, covering SOC2, ISO, PCI DSS, HITRUST, FedRAMP and CMMC frameworks plus penetration testing. SGS is targeting at least CHF 200 million in additional Digital Trust revenue by 2027 versus 2023.

StoneX Group has signed a definitive agreement to acquire Integra Trading S.A.S., a coffee trader, exporter and bean processor operating a certified mill near Medellín. The purchase runs through StoneX's Switzerland-based trading entity and folds into its Supply & Trading physical commodities business. Management expects the deal to be immediately accretive, expanding direct access to high-quality Arabica and creating an integrated origin-to-market platform.

Volaris Group, the Constellation Software subsidiary, has acquired Teknisa, a 36-year-old Brazilian provider of management software for corporate foodservice and food retail. Founded in Belo Horizonte in 1990, Teknisa serves more than 900 companies with over 450 employees, offering ERP, financial, HCM and kitchen-to-delivery modules. Terms were not disclosed. Co-founder George Lima framed the deal as a new cycle of sustainable growth.
